OUR TERMS OF SERVICE

     Welcome to Our Website.  Please read carefully the following terms and conditions of service for your use of Our site.   Our site may only be used by persons who agree to these terms and conditions. IF YOU USE OUR SITE, YOU AUTOMATICALLY AGREE TO THESE TERMS AND CONDITIONS.  Read them carefully. 

     WIREPLANET.COM LLC.  IS OWNED AND OPERATED BY WIREPLANET.COM LLC.  ("WE" or "US").  IF YOU HAVE ALREADY ACCEPTED OUR SERVICES AGREEMENT, THAT AGREEMENT GOVERNS OUR RELATIONSHIP.  IF YOU HAVE NOT AGREED TO THE WIREPLANET.COM LLC.  SERVICES AGREEMENT, YOU MAY USE THIS SITE ONLY ON AN “AS IS” BASIS AS DESCRIBED IN THESE TERMS OF SERVICE. 

Nontransferable.

      Your right to use Our Services and Your Member Site is personal to You and Your business only.  You have no right to transfer directly or indirectly all or any portion of Your Member Site or Your usage of Our Services to any third party.   You may not sublicense or otherwise fractionalize Your Member Site or Your usage of Our Services.

Trademarks/Service Marks

      We own all of the rights to the trademarks WirePlanet, WirePlanet .com LLC. and other trademarks and service marks (Our "Marks"), and We reserve all rights to Our Marks.   Except to describe Our Site and Our services, You may not use Our marks without Our prior written permission in connection with any other product or service or in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Us or Our marks. 

Copyright

     All content included on this site is either Our property or property of Our content suppliers and is protected by U.S. and international laws and treaties.  This content includes, without limitation, text, logos, graphics, icons, images, audio clips and software. The compilation (i.e., the collection, arrangement and assembly) of all content on this site is Our exclusive property and protected by federal, state and international laws. All software used on this site is Our property or property of Our software suppliers and is protected by U.S. and international copyright laws.

     The content and software on Our site may only be used as provided for in Our Member Agreement   Any other use, including the reproduction, modification or creation of derivative works, distribution, transmission, republication, display or performance, of the content on this site is strictly prohibited.

Clients must abide by the WirePlanet.com LLC Terms of Service agreement described below.

-Client's website design will not be started until WirePlanet.com receives all pertinent information in a usable format. Pertinent refers to content, graphics and general information for the website creation. All usable formats are e-mail, diskette, or Cd-rom. Once this process is fulfilled by the client, client's website will be up and running in approximately 20 business days.
-WirePlanet.com websites are not transferable and client agrees not to transfer WirePlanet.com websites or any designs created by WirePlanet.com or any of our subcontractors to any other hosting firm or Internet address including but not limited to Websites, Web Applications, Graphics or Code. Exceptions are designs created by you or your web designer.
-All graphic work designed for the client may only be used for client's website unless first approved in writing by WirePlanet.com. WirePlanet.com must agree to the use of graphics before the client may display the graphic for any other purpose other than the website. Nearly all requests get approved.
-Client agrees any content supplied by client can legally be used for client's website. We assume you have permission to use all the content you supply us with including if we are instructed to download images or content from a third party web site.
-By signing this agreement client hereby indemnifies WirePlanet.com together with WirePlanet.com officers, directors, shareholders, affiliates, parent and subsidiary corporations, employees, agents, contractors, vendors, and subcontractors, against any claims or liability arising from client's website.
-Any means of identification assigned to client by WirePlanet.com (including usernames and e-mail addresses) will remain property of WirePlanet.com and at WirePlanet.com 's sole discretion may be altered or replaced at any time. WirePlanet.com reserves all rights to the design and creation of websites, logos or any other items created by WirePlanet.com.
-Client may cancel website services at anytime with thirty (30) days written notice. Notice must be sent to corporate offices at 419 Main St. Ste.372 Huntington Beach, Ca 92648.
- Client retains full autonomy with respect to marketing and displaying the website and address.
- Domain names remain the property of their respective registrant (owner).
- All content and designs supplied by client remains property of client.
- No content will be returned to the client when you mail it to us for scanning or any other purpose. Please do not send originals.
- WirePlanet.com will begin the design of your website only after 50% of the design fees have been paid.
- The website will not be viewable to the public until 100% of the design fees have been paid.  If the site is viewable to the public before all design and hosting fees have been paid we reserve the right to take the website offline at our descretion until full payment is made.

Domain Name Transfers
-Client must provide necessary passwords, details, and account information for necessary domain name transfer. Transfer times may vary due to different registration companies and policies.  If WirePlanet.com is provided your username and password to manage your domain name you give WirePlanet.com complete authorization to log in and manage said domain name.
Domain Name Registration and E-mail Set-up
-If necessary WirePlanet.com will purchase your domain name for you with your contact and billing information listed for reference (with your approval). Client will be the registrant (owner) of domain name.
-E-mail accounts will be set-up for your domain name. The number of email accounts depends on the plan or agreement made at the time you sigh up. Client must provide the names and passwords of all email accounts (additional accounts are available for a small fee).
-Client understands that E-mail is Web-based email and WirePlanet.com LLC is not responsible for set-up other than the web-based accounts.

Initial Design Period (applicable only if we are creating your website or webstore)
-All content must be provided to WirePlanet.com LLC Integration offices no later than thirty (30) days after signing your Website License Agreement or Sign Up Sheet nless specified at the time of the agreement.
-WirePlanet.com LLC is only responsible to create the website with the supplied content that is received within thirty (30) days of this agreement.
-Client must sign off on complete delivery of content.
-The initial design period is fifteen (15) business days after client signs off on content delivery.
-WirePlanet.com will deliver a completed website in twenty (20) business days once client has signed off on delivery of content.
-It is client's responsibility to deliver content in a usable format. Usable format consists of diskette, CD-Rom, or email. All photos or graphics must be in a .jpg or .gif format. Client is responsible for duplication and delivery. PLEASE DO NOT SEND MASTER COPIES, WE WILL NOT RETURN CONTENT.
-Client will meet with an account manager to discuss website design specifics and must sign off on creation layout before WirePlanet.com LLC designs website. If client is supplying a layout or web site design to be finished or worked with this is not applicable to your agreement (we will design and communicate with you).  Situations may vary per client.
-Once website is complete client may choose to request a redesign, but is subject to new design fees.
-All custom work hours will be used in the initial design period. No time will be forwarded on to a future date.

Hosting Fees
-Monthly hosting fees start on the 1st day of every month.
-The first month of hosting will be prorated.
-Monthly hosting begins the day you sign the agreement or signup for services.
-All hosting payments will be direct billed on Client's credit card unless specified otherwise.
-If there is a break in payment of more than sixty (60) days, clients website will be temporarily shut down. There will be $50.00 reconnection fee to bring the website back online. The payment due will not be prorated for down time. Client must pay for hosting fees in full to re-establish hosting.
-Websites that require modified packages may be subject to different hosting fees.

Payment Options
-Client may choose to pay for website with check, money order or credit card.
-50-50 - Upon signing of this agreement client must pay a fifty (50%) percent deposit and supply the payment for the total amount of the website. This can be in the form of two checks, or credit card
number. WirePlanet.com LLC will only deposit fifty (50%) percent and deposit the total payment thirty (30) days from signing of this agreement.
-Any returned checks by client will be assessed a 15% return fee.
-Client will sign a payment holding document to insure the 50-50 deposits.
-All setup fees, web designs and/or updates that amount to $400 or less must be paid in full prior to starting your project. In this case the above 50% down 50% in 30 days will not apply.

Credit Card Billing:
- Billing is done in the first week of every month.
- Easier because we process it automatically every month and you receive the charges on your credit card statement for perfect accounting.
- No bill to remember to pay (less chance for late fees)
- We obviously prefer this method.

Invoice / Pay by Check or Money Order:
- Billed quarterly (every 3 months to apply to the next 3 months)
- Prorated first payment according to the quarter you are starting in.
- Fax or Mail Delivery of your invoice.

Website and E-Commerce Agreement
-Client understands that WirePlanet.com LLC is only responsible for the creation of the webstore.
-Client understands that order processing; payment, fulfillment, and customer service is client's responsibility.
-Client understands that WirePlanet.com LLC will not accept nor forward calls from client's customers regarding order issues.
-WirePlanet.com LLC is responsible for the web store design only. Client must set-up payment processing, and order fulfillment methods.
-WirePlanet.com LLC will do its best to make sure the online store is always functional, but is not to be held responsible if/when there are problems that do arise. WirePlanet.com LLC will use its best efforts to fix the problem, but any monies lost by the client in this time may not be held accountable to WirePlanet.com LLC.
-If the online store is not functional for a period of thirty (30) days, WirePlanet.com LLC will credit the monthly hosting back to the client for that month.
